These Terms and Conditions (the "Terms") govern your access to and use of WAVER+, an online account, billing, licensing, and optional service management system operated by Wavertech Ltd. ("Wavertech", "we", "us", "our"). WAVER+ allows business customers to manage WAVER Gateway devices, purchase and assign Service Licenses, and use optional connected services such as AI Services and PMS Integrations.
By creating an account or using WAVER+, you agree to these Terms. If you do not agree, do not use WAVER+.
You must provide accurate information when registering and keep your account credentials confidential. You are responsible for all activity that occurs under your account. You must notify [email protected] promptly if you suspect unauthorized access.
WAVER+ is intended for business customers only. By registering, you confirm that you are authorized to enter into these Terms on behalf of the company you represent and that you are at least 18 years old.
WAVER Gateway devices operate independently of WAVER+. Core gateway functionality on the device does not require an active WAVER+ Subscription unless a specific Optional Service is enabled or purchased.
WAVER+ provides Optional Services such as AI Services, PMS Integrations, cloud-connected device management, notifications, and future add-on services. These services are available when a corresponding Service License is active and assigned to a device.
To use WAVER+ services with a WAVER Gateway device, the device must be linked to your WAVER+ account through a pairing process. By pairing, you authorize the device to exchange status, license, and configuration information with WAVER+.
You are responsible for ensuring that you have authority to pair the device and that the device is used in compliance with local laws.
WAVER+ offers Subscriptions billed on a monthly or yearly cycle. A Subscription includes a defined number of Service Licenses and a defined capacity per service (for example, monthly AI token quotas).
The features, included Service Licenses, capacity, and price of each Subscription are described at checkout. Pricing for future renewal periods may change with prior notice given by email or in-app notice.
You may assign or unassign Service Licenses to your devices from your WAVER+ dashboard. A Service License is consumed while it is assigned to a device. Unassigning a license makes it available for assignment to another device that belongs to your account, subject to the rules of the specific service.
The number of concurrent active assignments per Subscription is limited to the quantity included in the Subscription. Attempts to exceed the included quantity will be refused; you must either unassign a license from another device or upgrade to a Subscription with more capacity.
Capacity counters (such as AI token quotas) are tracked per-license and reset on the Subscription's billing anniversary. Unused capacity does not roll over into the next billing period.
Wavertech may offer trial Service Licenses for evaluation. Trials are limited in duration and capacity, may be modified or withdrawn at any time, and are not guaranteed to be available to every customer or device. Each WAVER Gateway device may claim a given trial at most once. A trial license may be automatically detached from a device when a paid license for the same service is assigned, and re-attached if the paid license is later removed.
Subscriptions renew automatically at the end of each billing period unless cancelled. You can cancel future renewals at any time from the billing section of your account.
Cancellation takes effect at the end of the current billing period. Until that date you retain full access to the service you have already paid for. We do not pro-rate, partially refund, or otherwise reimburse the unused portion of a paid period following a cancellation.
If a Subscription is not renewed, the related Service Licenses will expire on the end date and the corresponding WAVER+ services will stop. Local functionality on the WAVER Gateway device that does not depend on a WAVER+ service may continue to operate, subject to the device configuration.
When a Subscription expires due to a failed payment, a grace period of the number of days defined in the relevant plan may apply, during which the Customer can renew without losing access. After the grace period ends, the related WAVER+ services are suspended. Reactivation may be possible by renewing the Subscription, subject to plan availability and any reactivation conditions in force at that time.
Subscriptions cancelled by the Customer (see Section 9) skip the grace period entirely and transition directly to expired at the end of the paid period.
Payments are processed by our payment processor, Stripe Payments Europe, Ltd. (Ireland). By providing payment details you authorize Wavertech and Stripe to charge the applicable fees on the agreed billing cycle.
VAT and other applicable taxes are calculated automatically at checkout based on your billing country and, for business customers in the European Union, your verified VAT identification number. Invoices include the corresponding tax amount or, where the reverse-charge mechanism applies, a clear reference to it. All prices shown on our website are exclusive of VAT unless explicitly stated otherwise.
No refunds. All Subscription fees are paid in advance and are non-refundable, except where a refund is required by mandatory law or expressly approved by Wavertech at its discretion. We do not provide refunds or credits for unused time, unused capacity, plan downgrades, cancellation during a billing period, or non-use of the service.
You may change Subscription plan, capacity, or billing interval (monthly to yearly, or yearly to monthly) at any time from the billing section of your account, subject to plan availability.
A plan change creates a new Subscription with a fresh billing cycle starting on the date of the change. The new Subscription is charged in full at checkout. The previous Subscription is cancelled in our payment processor at the same time, without proration and without a refund or credit for the unused portion of the previous billing period.
In practical terms, this means: if you switch plan or interval halfway through a paid month or year, you forfeit the unused time on the old plan. We display this clearly during the plan change flow. You are advised to time plan changes close to your renewal date to minimize forfeited time.
Service Licenses are re-assigned to your devices automatically after a successful plan change, prioritizing the oldest paired devices first. If the new plan includes fewer Service Licenses than the previous plan had assigned, you must manually unassign devices before the change or accept that the excess devices will lose access.
If a payment fails, our payment processor may automatically retry the charge over the following days and notify you. During this period the Subscription enters a grace state (Section 10) and service continues. If the payment remains unresolved at the end of the retry window, the Subscription is suspended and the Service Licenses lose access until you update your payment method and a successful charge is processed.
You can update your payment method at any time from your WAVER+ billing section, which redirects you to a secure Stripe-hosted page.
Some services include usage limits - for example, monthly AI tokens, API calls, storage, or capacity counters. When a limit is reached, the related service is throttled, paused, or restricted until the next billing period or until additional capacity is purchased.
You agree to use the services in line with their fair use expectations and to avoid excessive, automated, or non-typical use that may affect service quality for other customers.
AI Services are an Optional Service that allows a WAVER Gateway device to send prompts to large language models through WAVER+ and receive generated text in response. AI Services are available only when a corresponding AI Service License is active and assigned to the device.
Supported models. WAVER+ supports a pre-defined set of models from OpenAI Ireland Limited ("OpenAI") and Anthropic, PBC ("Anthropic"). The supported list may change over time as providers add, deprecate, or rename models. Requests for models not on the supported list are rejected.
Token metering. Both input tokens (the prompt you send) and output tokens (the model's reply) count against your monthly capacity. When capacity is exhausted, AI Services are paused for the affected license until the next billing period or until additional capacity is purchased.
Provider terms. AI Services rely on third-party AI providers. By enabling AI Services you agree to comply with the use policies of the relevant providers, in particular the OpenAI Usage Policies and the Anthropic Acceptable Use Policy. Wavertech may suspend AI Services on a device, in part or in full, if a provider notifies us of a policy violation.
Customer responsibility for inputs. You are responsible for all prompts sent through your AI Service License, including any personal data of End Users they may contain. Do not send special-category personal data (health, biometric, sexual orientation, political opinion, etc.), payment-card numbers, or other highly sensitive data through AI Services.
Output ownership and accuracy. Subject to applicable provider terms, you own the AI output generated for your account, to the extent ownership is legally possible. AI output is generated probabilistically and may be inaccurate, incomplete, offensive, or contain errors of fact. You are responsible for reviewing AI output before relying on it, displaying it to End Users, or taking action based on it. Wavertech makes no warranty regarding the accuracy, suitability, or non-infringement of AI output.
Data flow and abuse prevention. AI requests are transmitted to the relevant provider for processing. We retain limited metadata (request timestamp, model, token counts) for billing, abuse prevention, and quality monitoring. See our Privacy Policy for full details.
PMS Integrations are an Optional Service that allows a WAVER Gateway device to exchange limited operational data with a third-party Property Management System (PMS) chosen by the Customer. PMS Integrations are available only when a corresponding PMS Service License is active and the integration is enabled by the Customer.
Customer authorization. Before WAVER+ can exchange data with a PMS, the Customer must explicitly enable the integration in both the PMS administration interface (if required) and in WAVER+, providing any credentials or API keys needed. The Customer is responsible for ensuring that such authorization is lawful and that the PMS provider permits the integration.
Scope of data exchange. Only the data fields necessary to operate the integration are processed. Configuration values and integration metadata may be stored by WAVER+ to allow the integration to run; substantive PMS business data is generally pulled on-demand and not retained by WAVER+ except as needed for diagnostics.
Roles. The Customer remains the data controller for End User data processed through the PMS. Wavertech acts as a data processor for PMS data flowing through WAVER+ in the course of providing the integration, on the terms set out in the Data Processing Addendum (Section 23).
PMS provider availability and accuracy. Wavertech is not responsible for the availability, correctness, or completeness of data provided by, or actions taken by, the PMS provider. Integration features may be modified or discontinued if the PMS provider changes its API in a way that we cannot reasonably support, with notice given by email or in-app notice.
WAVER+ may offer additional Optional Services not specifically named in these Terms (for example, additional cloud-connected services or future add-ons). These services are available only when the corresponding Service License is active and may rely on third-party providers. Service-specific terms, where they apply, are presented at the moment of enablement or purchase.
You are responsible for:
Wavertech does not operate or control the guest network or End User communications running on a WAVER Gateway device unless a specific WAVER+ service explicitly does so.

We may suspend or terminate accounts that violate these rules.
We make reasonable efforts to keep WAVER+ available, but we do not guarantee uninterrupted operation. Scheduled maintenance, third-party outages, network conditions, and other factors may affect availability.
We may change, add, or remove features over time. Material changes affecting paid services will be communicated by email or in-app notice.
From time to time, WAVER+ may offer beta or experimental features. These features are provided on an as-is basis, may change without notice, may be removed at any time, and should not be relied on for production use.
Standard support is provided by email at [email protected]. Response times depend on the issue and on your Subscription. Support covers WAVER+ functionality and officially supported integrations. It does not cover network design, third-party software, or hardware not provided by Wavertech.
This Section forms the data processing terms between Wavertech Ltd. (as data processor) and the Customer (as data controller) for any Personal Data that Wavertech processes on the Customer's behalf in connection with WAVER+. For Personal Data that Wavertech processes as a controller (account, billing, security, and operational data), see the Privacy Policy.
Subject matter and purpose. Provision of WAVER+ and any Optional Services enabled by the Customer.
Duration. The term of the Customer's WAVER+ account, plus any retention period required by law or by our payment processor.
Categories of data subjects. End Users of networks or services operated by the Customer through a WAVER Gateway device (where applicable), and the Customer's authorized users of WAVER+.
Categories of Personal Data. Account profile data of authorized users; device and operational metadata; AI Service inputs and outputs (where the Customer enables AI Services); PMS integration data (where the Customer enables a PMS Integration); communications between the Customer and Wavertech.
Subprocessors. The Customer authorizes Wavertech to engage the Subprocessors listed in the Privacy Policy (Section 8). We will give reasonable advance notice of any new Subprocessor and give the Customer an opportunity to object on reasonable grounds.
Customer obligations. The Customer warrants that it has a valid legal basis under applicable data protection law for the processing it instructs Wavertech to perform, that it has provided End Users with required notices, and that its instructions to Wavertech do not violate applicable law.
Wavertech obligations. Wavertech will: process Personal Data only on the Customer's documented instructions (the agreed scope of WAVER+ and Optional Services being such instructions); ensure that personnel with access are bound by confidentiality; apply appropriate technical and organizational measures consistent with industry standards (see Privacy Policy Section 11); assist the Customer with responding to data subject requests where practicable; notify the Customer without undue delay after becoming aware of a Personal Data breach affecting Customer Data.
International transfers. Where Subprocessors are located outside the European Economic Area, transfers rely on the European Commission's Standard Contractual Clauses or another lawful transfer mechanism.
Audits. The Customer may, on reasonable prior notice and at its own cost, request information necessary to demonstrate compliance with this DPA. Audits are conducted remotely via written questionnaire by default and on-site only where strictly necessary, scheduled to avoid disruption.
Return or deletion of data. On termination of the Customer's account, Wavertech will delete Customer Data within a reasonable period, except where applicable law, tax obligations, or our payment processor requires retention for a defined longer period.
WAVER+, the WAVER Gateway firmware, the Wavertech brand, and all related materials are owned by Wavertech Ltd. or its licensors. These Terms do not transfer any intellectual property rights to you. You receive a limited, revocable, non-transferable right to use WAVER+ in accordance with these Terms.
WAVER+ and any Optional Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Wavertech disclaims all warranties, whether express or implied, including warranties of fitness for a particular purpose, non-infringement, and uninterrupted operation.
To the maximum extent permitted by law, Wavertech Ltd. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity, arising from or related to your use of WAVER+.
Where liability cannot be excluded by law, Wavertech's total aggregate liability for any claim arising under these Terms will not exceed the amount paid by you for the affected service during the twelve months immediately before the event giving rise to the claim.
We may suspend or terminate your access to WAVER+ if you breach these Terms, if required by law, or if continued provision of the service is no longer commercially viable.
You may stop using WAVER+ and delete your account at any time from your account settings. Some billing, tax, security, and payment-processing records may be retained after account deletion where required by law or by our payment processor.
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when the latest version took effect. Material changes will be communicated by email or in-app notice before they take effect. If you continue to use WAVER+ after a change, you accept the updated Terms.
These Terms are governed by the laws of the Republic of Bulgaria, without regard to its conflict-of-law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms, the WAVER+ service, or your account shall be submitted to the exclusive jurisdiction of the competent courts of the city of Sofia, Bulgaria, unless overridden by a mandatory rule of consumer-protection law that grants the consumer the right to bring proceedings in another forum.
The working language of these Terms, of all contractual and operational communication (including invoices and notices), and of any dispute resolution proceedings is English. Translations that we may provide for convenience are non-binding; the English text prevails in case of any discrepancy.
WAVER+ is offered to business customers (legal entities and individuals acting in a business capacity). By registering, you confirm that you are entering into these Terms in a business capacity and not as a consumer within the meaning of EU consumer protection law.
Where, despite the above, the EU Consumer Rights Directive (2011/83/EU) or its national implementations would grant you a right of withdrawal in respect of a paid Subscription, you expressly request that the WAVER+ service begins immediately upon purchase and you acknowledge that, once the supply of the digital service has begun with your prior express consent and acknowledgement, you lose your right of withdrawal under Article 16(m) of that Directive.
